Our Structured Finance & Derivatives Group is widely recognized as one of the most sophisticated in the legal profession. The Group’s life settlements practice represents investors, lenders, hedge funds and providers in a wide range of U.S. and cross-border transactions, including purchase platforms, lending platforms, premium finance programs, fund formation, warehouse facilities and commercial paper conduit transactions. We also regularly handle matters including the formation of domestic and offshore funds that invest in the life settlement and premium finance asset classes, as well as the purchase of portfolios of life settlements in auctions and private transactions. The Group structures and negotiates a variety of other complex structured finance and securitization transactions — from collateralized loan obligations, asset-backed securities and regulatory capital offerings to insurance-linked securities such as catastrophe bonds, premium finance, and Regulation XXX and AXXX reserve funding transactions. We additionally handle equipment leases, structured settlements, lottery receivables, cell towers and franchise loans, in addition to more esoteric asset classes such as timeshare loans and intellectual property. The experience of our team encompasses the full spectrum of financial products and transactions and regularly draws on the knowledge and experience of lawyers in the firm’s investment management, mergers and acquisitions, securities, litigation, business reorganization and tax groups. In addition to structuring, drafting and negotiating, we also assist with regulatory filings, compliance issues and investigations.
